Terms of Service

These Terms govern your access to and use of Social Maze. Please read them carefully — they form a binding legal agreement between you and us.

Please read these Terms carefully before using Social Maze. By creating an account or using the Service, you agree to be bound by these Terms. If you are using Social Maze on behalf of a company, you represent that you have authority to bind that company.

1. Acceptance of Terms

By accessing or using Social Maze (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a binding legal agreement between you (or, if you are acting on behalf of a company or organisation, that entity) ("you" or "Customer") and Social Maze Ltd, a company registered in England and Wales ("Social Maze," "we," "our," or "us").

If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Social Maze provides a social media management platform that enables users to schedule and publish content, manage social inboxes, analyse performance data, and collaborate with team members across multiple social media platforms.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes where practicable.

3. Accounts and Registration

3.1 Account Creation. To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information and updating it as necessary.

3.2 Account Security. You are responsible for safeguarding your account credentials. You must notify us immediately at [email protected] of any unauthorised access to or use of your account. Social Maze is not liable for any loss arising from your failure to maintain the security of your credentials.

3.3 Eligibility. You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By creating an account, you represent that you meet these requirements.

3.4 One Account Per User. Each account is for a single user. You may not share login credentials or allow multiple individuals to access the Service through a single account unless you have subscribed to a team plan that permits multiple seats.

4. Subscriptions and Billing

4.1 Plans. Social Maze offers various subscription plans. By selecting a plan, you agree to pay the applicable fees as described on our pricing page at the time of purchase.

4.2 Billing Cycle. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. Annual plans are billed once per year at the discounted annual rate.

4.3 Payment. Payments are processed by Stripe. By providing payment information, you authorise Social Maze to charge your payment method for all fees when due. All prices are exclusive of VAT and other applicable taxes unless stated otherwise.

4.4 Automatic Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will send you a reminder email at least 7 days before any annual renewal.

4.5 Price Changes. We reserve the right to change subscription prices with at least 30 days' written notice. Price changes will take effect at your next renewal date.

4.6 Free Trials. If you begin a free trial, you will not be charged until the trial period ends. You may cancel during the trial period at no charge.

4.7 Refunds. Monthly subscriptions are non-refundable. For annual subscriptions, we offer a pro-rated refund for the unused portion within the first 30 days of the billing period, at our discretion. Refund requests should be submitted to [email protected].

5. Cancellation and Termination

5.1 Cancellation by You. You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

5.2 Termination by Social Maze. We may suspend or terminate your account immediately, with or without notice, if you:

Violate these Terms or our Acceptable Use Policy;

Engage in fraudulent, abusive, or illegal activity;

Fail to pay subscription fees when due;

Cause harm to other users or the integrity of the Service.

5.3 Effect of Termination. Upon termination, your right to access the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. You may export your data before cancellation using the export tools provided in your account settings.

6. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights.

Publish or distribute spam, unsolicited messages, or misleading content.

Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Upload or transmit malicious code, viruses, or any software designed to damage, disable, or gain unauthorised access to computer systems.

Interfere with or disrupt the Service or servers or networks connected to the Service.

Attempt to gain unauthorised access to any part of the Service or its related systems.

Use the Service for any purpose that competes with or adversely affects Social Maze's business.

Harvest, scrape, or collect data from the Service using automated means without our prior written consent.

Publish content that is defamatory, obscene, hateful, or discriminatory.

Violation of this policy may result in immediate suspension or termination of your account.

7. Intellectual Property

7.1 Our IP. The Service, including all software, designs, text, graphics, and other content created by Social Maze, is owned by Social Maze Ltd and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes in accordance with these Terms.

7.2 Your Content. You retain all rights to the content you create, upload, or publish through the Service ("Your Content"). By using the Service, you grant Social Maze a limited, worldwide, royalty-free licence to host, store, and display Your Content solely as necessary to provide the Service to you.

7.3 Feedback. If you submit suggestions, ideas, or feedback about the Service, you grant Social Maze the right to use such feedback without restriction or compensation to you.

7.4 Third-Party Content. The Service may integrate with third-party platforms and display third-party content. Such content is the property of its respective owners, and your use of it is subject to their terms.

8. Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

For business customers who process personal data of their customers through the Service, we act as a data processor and you act as the data controller. Our Data Processing Agreement (DPA), available on request, governs such processing.

9. Third-Party Services and Integrations

The Service allows you to connect and interact with third-party social media platforms and services ("Third-Party Services"). Your use of Third-Party Services is governed by their respective terms of service and privacy policies, and Social Maze is not responsible for their content, practices, or availability.

By connecting a Third-Party Service to Social Maze, you represent that you have the right and authority to connect that account and authorise Social Maze to act on your behalf in accordance with that platform's API terms.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL MAZE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, error-free, or secure at all times;

Any errors or defects will be corrected;

The Service will meet your specific requirements;

Results obtained from use of the Service will be accurate or reliable.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SOCIAL MAZE, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SOCIAL MAZE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Social Maze Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

Your use of or inability to use the Service;

Your violation of these Terms;

Your violation of any third-party right, including intellectual property rights;

Your Content or any content you publish through the Service.

13. Governing Law and Disputes

13.1 Governing Law. These Terms are governed by the laws of England and Wales, without regard to conflict-of-law provisions.

13.2 Dispute Resolution. In the event of a dispute, we encourage you to contact us first at [email protected] to seek an informal resolution. If we cannot resolve the dispute informally, both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13.3 EU/EEA Consumers. If you are a consumer based in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. General Provisions

14.1 Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Social Maze regarding the Service and supersede all prior agreements and understandings.

14.2 Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

14.3 Waiver. Failure by Social Maze to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.4 Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Social Maze may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure. Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, or internet outages.

14.6 Notices. Notices to Social Maze should be sent to [email protected]. We may provide notices to you via email to the address associated with your account.

15. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email and/or by displaying a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
